Fitness First thrown CVA lifeline

Struggling gym company Fitness First has proposed a company voluntary arrangement (CVA) in a bid to avoid going into administration.

The move, to be administered by KPMG, will involve a renegotiation of the terms of its property portfolio and a 100m loan injection.

But it has to be approved by the firm's creditors first.

Fitness First has about 140 gyms and is struggling to keep up rental payments after a fall in membership revenues.

Two of Fitness First's biggest lenders, Oaktree Capital and Marathon, have already agreed to write off more than 560m of debt in return for an undisclosed equity stake in the company.

According to KPMG, a CVA must offer a better return to creditors than an administration and cannot simply be used to escape onerous leases.

Richard Fleming, KPMG's UK head of restructuring, said: "In the case of Fitness First, we estimate that the return to compromised landlords to be within a range of 23-28p in the 1 versus less than 0.5p in the 1 in administration."

Under the terms of the CVA, all Fitness First currently-trading gyms will remain open, but 67 will be offloaded to new operators within the next six months.

Fitness First is owned by private equity firm BC Partners.

Fitness First puts clubs up for sale

Gym chain Fitness First will sell a quarter of its Australian outlets as its debt-laden UK parent undergoes a major restructure of its global operations.

Fitness First Australia announced on Friday that it would sell 24 of its 97 clubs but said protection of member and staff rights would be a condition of the sales.

Company managing director Pete Manuel said the 24 clubs 'do not fit our vision for the brand'.

'All operators review their portfolios from time to time and this is overdue for Fitness First here in Australia,' he said.

Founded in the UK in 1993, Fitness First has more than 400 clubs worldwide - mostly in the UK, Australia and Germany - but has struggled in the face of low-cost competition and tight economic conditions in recent years.

In 2011, former BC Partners, the private equity owners of the international Fitness First business, scrapped plans to float the business on the Singapore stock exchange.

In 2010, the Australian operations reported a fall in membership of 16,000 people - a drop of nearly five per cent.

A number of franchises, low-cost, 24-hour gym businesses have opened in Australia in the past five years, increasing the pressure on one-time market giant Fitness First.

Corporate advisers 333 Capital have been retained to find buyers for the Australian clubs.

Mr Manuel said that following the restructure of the Fitness First group by new majority owners Oaktree and Marathon, and the 'virtual' removal of $890 million in debt, the business would have funds to improve the quality of existing clubs and open new venues.

Clint Dempsey in fitness race to face Brazil

Clint Dempsey might not be fit enough to start for the United States against Brazil in an international friendly Wednesday night. The Fulham attacker, who scored 17 goals in the Premier League this season, missed the last day of the season with a groin injury. The injury isn't a concern anymore, but fitness levels after several weeks out are.

"I'm lacking a little bit of match fitness, but [I] continue working hard," Dempsey said. "I felt OK. As far as getting on the ball I felt confident. But I lacked a little bit of fitness getting around the field and being able to pressurize defensively."

The 29-year-old sat out Saturday's friendly with Scotland. Landon Donovan, who scored a hat trick, and Jose Torres started in the wide attacking positions for the 5-1 win. They might get the nod against Brazil as well if Jurgen Klinsmann doesn't feel Dempsey is ready to start.

"We'll look at him tomorrow we have another training session and then we'll take it from there," Klinsmann said. "We're not stressing out about it."

Klinsmann did note the other 22 players are all fit, a good situation for me the coach to be in.

The other player to miss the Scotland game, Jozy Altidore, should be ready to start. The AZ Alkmaar striker praised Dempsey's season, which saw the Texan become the first American to score a hat trick in the Premier League as well as become the all-time top scoring American in England.

"You can see the difference between the now and the first year he came [to Europe]," Altidore said. "The first year he was a bit raw, second year he was getting the hang of it, playing. He fell out of the lineup, he got back in it a testament to his personality, his character. I think these five years say what he is as a person a fighter."

The United States will miss that tenacity and goal-threat if Dempsey can't play. However, Klinsmann may use his star off the bench.

"I'm not 90 minutes fit but I'm ready to go in whatever capacity the coach wants to utilze me," Dempsey said.

Left Debbie Slapman, Vicki Stride and Lisa Mahar get ready for endurance exersizes at the Holy Trinity Academy School outdoor track.

Feeling good and looking good go hand-in-hand for a group of local ladies and they want to send this message to the younger generation.

The mantra has been circling the minds of countless woman since Okotokian Vicki Stride put her fitness company Inspired Fitness and Personal Training and her fitness challenges to the test.

Stride said the Building a Legacy challenge means more than just losing weight. She recommends losing weight the healthy way and her program pushes the importance of good self-esteem and body image.

So many moms dont want to create a stigmas for their young daughters, Stride said.

Constantly stepping on a scale and trying to lose weight wasnt the image she wanted to portray to her family.

Society has so much of that already, she said.

The fitness leader said shes already experienced a lot of positive feedback from mothers involved in her fitness program.

Get moving today at National Senior Health & Fitness Day

National Senior Health & Fitness Day kicks off at 8 a.m. today at the Purrysburg Fitness Center.

The schedule includes:

Giant Aerobics Class: 89:30 a.m. in front of the Purrysburg Fitness Center.

Get your heart pumping during the Gigantic Aerobics Class. If it rains, the class will be held at the pavilion. Enter the raffle to win a free T-shirt. There will also be chair instruction for beginners.

Aerobics instructors are Chamoni from 88:30 a.m., Lee from 8:309 a.m. and then Lois from 99:30 a.m.

Free Fitness Testing: 89:30 a.m., Purrysburg Fitness Center Aerobics Room.

This is a great way to compare fitness levels from year to year. You are welcome to come and go between the aerobics class and the fitness testing. The fitness testing will be done on a first-come, first-serve basis. Plus a T-shirt raffle.

Four fitness tests are available: Chair stand test testing lower body strength (30 seconds); back scratch test testing upper body flexibility (1 minute); 8foot up and go test agility test; and step in place test measures aerobic fitness (2 minutes).

The Health Fair is from 10 a.m.1 p.m. in Pinckney Hall.
